1.1 These General Website Terms and Conditions (the “Terms”) govern your use of https://www.acubedevelopments.com, including its pages, sub-domains, language versions, enquiry forms, virtual tours, payment pages, Payment Links and other online features (the “Website”).
1.2 The Website is owned and operated by Acube Real Estate Development LLC, a limited liability company registered in the Emirate of Dubai, of Ground Floor, Two Towers, Barsha Heights, Dubai, United Arab Emirates (“Acube”, “we”, “us”).
1.3 By using the Website, you agree to these Terms, the Privacy Policy and the Cookie Policy. If you do not agree, you must stop using the Website.
1.4 You must be at least 18 years old and have the legal capacity to use the Website and enter into any Property transaction. If you act for a company or other entity, you confirm that you are authorized to bind it.
(a) “Applicable Law”: the laws and regulations in force in the UAE and the Emirate of Dubai, including the requirements of the Dubai Land Department (“DLD”) and the Real Estate Regulatory Agency (“RERA”).
(b) “Content”: all text, information, images, renders, videos, virtual tours, floor plans, brochures, logos, trademarks, software and other material on the Website.
(c) “Payment Link”: an electronic payment link, payment page or gateway provided by or for Acube.
(d) “Property”: any real estate unit in a project developed, marketed or offered by Acube.
(e) “Property Agreement”: any agreement or document between Acube and a customer relating to a Property. This includes an expression of interest, a booking or reservation form, a sale and purchase agreement, and any addendum.
3.1 Acube grants you a limited, personal, non-exclusive, non-transferable and revocable right to use the Website for lawful purposes. You may download or print Content made available for download, such as brochures and floor plans, only for your personal use in evaluating a Property.
3.2 You must not:
(a) use the Website in breach of Applicable Law, or submit unlawful, defamatory, obscene or otherwise prohibited material;
(b) provide false, misleading or unauthorized information, or impersonate any person;
(c) introduce viruses, malware or other harmful code, or send spam or unsolicited communications;
(d) attempt to gain unauthorized access to the Website or connected systems, or interfere with, circumvent or disable its operation or security features; or
(e) scrape, crawl or extract Content or data by automated means, including to train artificial-intelligence or machine-learning models, without Acube’s prior written consent.
4.1 All Content and the intellectual property rights in it are owned by or licensed to Acube. The Acube name, logos, trademarks and project names may not be used without Acube’s prior written consent.
4.2 Except as these Terms or Applicable Law permit, you must not reproduce, modify, publish, distribute, display, commercially exploit or create derivative works from the Content. You must not remove or alter any proprietary notice in it.
5.1 All Property information is for general information only. This includes prices, payment plans, incentives, availability, specifications, amenities, areas, layouts, views and completion dates. It is not an offer, acceptance, commitment or warranty by Acube unless stated in a signed Property Agreement. Prices, payment plans, incentives and availability may change or be withdrawn without notice.
5.2 Images, renders, videos, virtual tours, 3D models, interactive plans and show units are illustrative only. Actual finishes, materials, furniture, views, landscaping and surroundings may differ.
5.3 Floor plans, dimensions, areas and layouts are indicative. They may change during design, construction or regulatory approval. Construction progress and completion dates are estimates and may change. The binding details of a Property are those in the Property Agreement and the records of the competent authorities.
5.4 Every Property transaction is governed by the Property Agreement and Applicable Law. The Property Agreement prevails over these Terms if the two are inconsistent. You should obtain independent legal, financial and tax advice before entering into any transaction.
5.5 Acube is not responsible for any statement, promise or marketing material issued by a broker, agent or other person that Acube has not authorized in writing. No broker or agent is authorized to collect payments on Acube’s behalf.
5.6 Unless Acube expressly confirms otherwise in writing, no broker or agent is authorised to vary Acube’s official price, payment plan or contractual terms, guarantee investment returns, rental yields or resale outcomes, or make any representation that binds Acube.
6.1 Submitting an enquiry, interest registration, brochure, call-back or viewing request, or contacting Acube by WhatsApp, telephone or email, does not reserve a Property or create any binding obligation.
6.2 Any unit availability shown on the Website is indicative and may change without notice. A unit is not reserved or removed from sale until Acube has completed the reservation process required by the applicable Property Agreement or booking documents and issued the relevant confirmation.
6.3 Information you submit must be accurate, complete and not misleading.
6.4 WhatsApp, social media and other third-party channels operate under their own terms and privacy policies. Do not send card details, passwords or identity documents through them unless Acube directs you to a secure channel.
6.5 Acube may communicate with you electronically. Electronic communications and records may be relied on as permitted by Applicable Law, including Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.
7.1 Where available, the Website and Payment Links may be used to pay amounts that Acube invoices or requests. These include expression of interest, booking, reservation, instalment and registration amounts. Payments are subject to the Property Agreement, the invoice or payment instructions, Applicable Law, and any applicable Pay by Link Terms or Pay by Crypto Terms published on the Website. Payments are made in AED unless Acube states otherwise.
7.2 For off-plan Properties, payments must be made to the project escrow account specified in the Property Agreement, invoice or Acube’s authorized payment instructions, where Applicable Law requires.
7.3 Card payments are processed by a third-party gateway. Acube does not store full card numbers or CVV codes. Where crypto payment is offered, a licensed third-party provider receives the virtual assets and converts them into AED. Acube does not receive or hold virtual assets.
7.4 Acube will never ask you to pay into a personal bank account or personal wallet. Always verify any unexpected request to change payment details directly with Acube before paying.
7.5 You are responsible for paying correctly, in full and on time, and for all bank, card or provider charges. The payment counts as received only when cleared funds reach the designated Acube or escrow account. Receiving a payment does not by itself accept a transaction, create a sale or waive any of Acube’s rights.
7.6 Acube may investigate, reject, hold, reverse or refund a payment in any of these cases, subject to Applicable Law and the Property Agreement: error, suspected fraud, unauthorized activity, regulatory requirements or processing issues. Acube does not accept payments from or for any person, entity or country subject to UAE, United Nations or other applicable sanctions.
8.1 An expression of interest or booking amount shows an intention to proceed. It is not a completed sale. A Property transaction becomes binding only under the Property Agreement and Applicable Law.
8.2 Acube may cancel or release a reservation if the requirements of the Property Agreement or booking documents are not met within the stated period.
8.3 Refunds, cancellations and adjustments are governed only by the Property Agreement and Applicable Law. These Terms create no separate right to a refund.
9.1 Acube may carry out identity, source-of-funds, sanctions, anti-money laundering, counter-terrorist financing and other compliance checks. You agree to provide the information and documents reasonably required.
9.2 Acube may delay, decline, suspend or return a payment, or decline to proceed with a transaction, where needed to comply with Applicable Law or its compliance procedures. Where required or permitted by law, Acube may disclose information to competent authorities without notice to you.
10.1 The Website may link to or integrate third-party services, such as social media, messaging, maps, video, virtual-tour and payment providers. These operate independently under their own terms and privacy policies. Acube is not responsible for their availability, content, security or practices.
11.1 The Website is provided “as is” and “as available”, subject to Applicable Law. Acube may modify, suspend or discontinue any part of it at any time.
11.2 Acube takes reasonable steps to keep Content accurate. It does not warrant that the Website or Content will be complete, current, uninterrupted or error-free, and may correct or update Content without notice.
12.1 To the maximum extent permitted by Applicable Law, Acube and its affiliates, directors, officers, employees and agents are not liable for any indirect, incidental, special or consequential loss. Nor are they liable for any loss of profit, revenue, opportunity, goodwill or data. This applies to any such loss arising from:
(a) your use of, or inability to use, the Website;
(b) your reliance on general Website Content;
(c) the acts, omissions, interruption or failure of third-party payment systems, banks, card issuers, telecommunications or other service providers; or
(d) events beyond Acube’s reasonable control.
12.2 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded, or any right you have under a Property Agreement or mandatory Applicable Law.
13.1 To the extent permitted by Applicable Law, you will indemnify Acube and its affiliates, directors, officers, employees and agents against all claims, losses, liabilities, costs and reasonable expenses (including legal fees) arising from:
(a) your breach of these Terms;
(b) your unlawful or unauthorized use of the Website;
(c) material you submit that infringes a third party’s rights; or
(d) fraudulent or unauthorized payment activity attributable to you.
14.1 Acube processes personal data collected through the Website in line with the Privacy Policy and Applicable Law.
14.2 Where you have consented, Acube may send you marketing about its projects, launches, events and offers. You may opt out at any time through the unsubscribe option or by contacting Acube. Opting out does not stop communications required for an enquiry, transaction, payment, contract or legal obligation.
15.1 Acube may suspend, restrict or end your access to the Website in any of these cases: where it reasonably believes you have breached these Terms or Applicable Law, or where it is needed for security, to investigate misuse, to comply with law, or to protect Acube, its customers or third parties. Rights and obligations that have already arisen are not affected.
15.2 Acube may amend these Terms by publishing a revised version on the Website with a new “Last Updated” date. The revised version applies from publication, unless the law requires otherwise. Amendments do not change any Property Agreement already signed.
16.1 These Terms are governed by the laws of the UAE as applied in the Emirate of Dubai. Subject to mandatory Applicable Law and any different dispute-resolution clause in a Property Agreement, the courts of Dubai have jurisdiction over any dispute relating to these Terms or the Website.
17.1 Severability. If any provision is invalid or unenforceable, it will be limited or removed only to the extent necessary, and the rest of these Terms continue in effect.
17.2 No waiver. A failure or delay by Acube in exercising any right is not a waiver of it.
17.3 Assignment. You may not transfer your rights or obligations under these Terms without Acube’s prior written consent. Acube may transfer its rights and obligations in connection with a restructuring, merger, acquisition or business transfer, subject to Applicable Law.
17.4 Entire agreement. These Terms, the Privacy Policy and the Cookie Policy govern your use of the Website. Any Property transaction is also governed by the Property Agreement, which prevails if they are inconsistent.
17.5 Language. If these Terms are published in English and Arabic, English version prevails in case of inconsistency, to the extent permitted by Applicable Law.
17.6 Force majeure. Acube is not responsible for any delay or failure caused by circumstances beyond its reasonable control. Examples include failures of telecommunications, banking or payment systems, cyber incidents, natural events, government action and civil disturbance.
