1.1 These Pay by Crypto Terms (the “Crypto Terms”) apply when you make an eligible payment to Acube Real Estate Development LLC (“Acube”, “we”, “us”) using the crypto payment option offered on the Website or through a designated crypto payment interface or link. Pay by Crypto is only an alternative way of settling payments that are denominated in AED.
1.2 These Crypto Terms form part of Acube’s General Website Terms and Conditions, Privacy Policy and Cookie Policy. Where relevant, they also form part of the applicable Property Agreement, invoice or other transaction document. Capitalized terms not defined here have the meanings given in the General Website Terms and Conditions. If these Crypto Terms conflict with a Property Agreement on the underlying Property transaction, the Property Agreement prevails.
1.3 By making a crypto payment, you confirm that you have read and accepted these Crypto Terms and the terms of the Crypto Payment Provider.
(a) “Crypto Payment Provider”: the third-party provider that Acube designates to process crypto payments, licensed or authorized under Applicable Law to provide virtual asset payment and conversion services.
(b) “Quote”: the conversion rate and Virtual Asset amount that the Crypto Payment Provider displays for a payment.
(c) “Settlement Amount”: the AED amount actually received by Acube or the designated project escrow account after the Crypto Payment Provider converts the Virtual Assets.
(d) “Virtual Assets”: the digital assets that the Crypto Payment Provider supports and that are shown as available on the payment page.
3.1 All crypto payments must be made only through the Crypto Payment Provider, following the instructions displayed at the time of payment. Virtual Assets sent to any other wallet, including a wallet of Acube, its employees, brokers or agents, are not a payment to Acube. Any such transfer is made entirely at your own risk.
3.2 Acube does not receive, hold or custody Virtual Assets. The Crypto Payment Provider converts your payment into AED and sends the Settlement Amount to Acube or, for off-plan Properties where Applicable Law requires, to the relevant project escrow account.
3.3 The amount you owe remains the AED amount stated in the invoice, payment instruction or Property Agreement. Paying in Virtual Assets does not change or reduce that amount.
3.4 The Crypto Payment Provider operates independently of Acube. Its own terms, procedures, disclosures and charges apply. Acube may share your identity, transaction and wallet information with it as needed to process, verify or investigate a payment.
4.1 Pay by Crypto may be used only for payments that Acube expressly designates as eligible. The eligible transaction types supported Virtual Assets and payment instructions will be displayed at the time of payment.
4.2 Acube may, at any time, limit, suspend or withdraw Pay by Crypto, or change the supported Virtual Assets, payment limits or operational requirements. This includes where needed for legal, regulatory, risk or Crypto Payment Provider requirements.
5.1 You must be at least 18 years old, be the purchaser named in the Property Agreement or invoice, and pay from a wallet or account that you own and control, unless Acube agrees otherwise in writing.
5.2 No payment from a third-party wallet or account may be made without Acube’s prior written approval and completion of any identification, beneficial-owner, source-of-funds, source-of-wealth, sanctions and wallet-control checks required by Acube or the Crypto Payment Provider.
5.3 Acube and the Crypto Payment Provider may require identification, source-of-funds or source-of-wealth evidence, and proof of wallet ownership or control, before or after accepting a payment.
5.4 Acube and the Crypto Payment Provider may refuse, delay, suspend, freeze, restrict or return any payment where required by Applicable Law, anti-money laundering, counter-terrorist financing or sanctions requirements, or their compliance procedures. Neither is liable for any loss, delay or change in value that results.
5.5 Acube does not accept payments from or for any person, entity, country or wallet that is subject to, or linked to a party subject to, sanctions under UAE, United Nations or other applicable sanctions regimes.
6.1 A Quote is valid only for the period the Crypto Payment Provider displays. If it expires before payment is completed, a new Quote may be required.
6.2 Virtual Asset values can change significantly. You bear all risk of any change in value until the Crypto Payment Provider converts the Virtual Assets into AED.
6.3 Your account will be credited only with the Settlement Amount. You must pay any shortfall against the AED amount due promptly, and in any case by the original due date. Acube may apply any excess against other amounts you owe, or refund it, in line with the Property Agreement and Applicable Law.
7.1 You are responsible for selecting the correct Virtual Asset and network and for following the payment instructions displayed exactly.
7.2 Blockchain transactions normally cannot be cancelled or reversed. Acube is not responsible for losses caused by an incorrect wallet address, an unsupported asset or network, an expired Quote or instructions, or any other transfer error on your part. Any recovery attempt is subject to the Crypto Payment Provider’s procedures and may involve charges.
7.3 You also bear the operational risks of blockchain congestion, forks, minimum-confirmation requirements, unsupported or delisted assets, stablecoin or token price dislocation, and other network or protocol events until conversion and settlement in AED.
7.4 You bear all transactions, network, gas, exchange and other charges, as disclosed by the Crypto Payment Provider.
7.5 All such charges are for your account and must not reduce the AED amount required to be received by Acube or the relevant project escrow account.
7.6 You are responsible for the security of your wallet, private keys, seed phrase and credentials. Acube personnel will never ask for your private keys, seed phrase or wallet credentials, and will never ask you to send Virtual Assets directly to a wallet. If you receive such a request, do not act on it and contact Acube immediately.
8.1 A crypto payment counts as received only when the Settlement Amount reaches Acube’s designated bank account or the relevant project escrow account as cleared funds. A blockchain confirmation, transaction hash (TXID), wallet notification or Crypto Payment Provider confirmation is not proof that Acube has received payment.
8.2 Acube will issue a receipt in AED for the Settlement Amount. Please keep the Quote, TXID and receipt for your records.
8.3 Unless the Property Agreement or Acube’s written payment instructions require otherwise, Acube may allocate a Settlement Amount against any amount then due from you in the manner Acube reasonably determines, subject to Applicable Law.
8.4 Payment deadlines and late-payment consequences under the Property Agreement continue to apply, including where delays are caused by the Crypto Payment Provider or a blockchain network, unless Acube agrees otherwise in writing.
9.1 Refunds are governed only by the Property Agreement and Applicable Law. Using Pay by Crypto creates no separate right to a refund.
9.2 Approved refunds will be made only in AED, by bank transfer to an account in the purchaser’s name, subject to verification and compliance checks. Refunds will never be made in Virtual Assets.
9.3 Refunds are calculated on the Settlement Amount received, regardless of any later change in the value of the Virtual Asset used. Refunds of escrow funds are subject to escrow and regulatory approvals. Acube is not responsible for bank or third-party charges on a refund.
9.4 A payment rejected before conversion or settlement will be handled under the Crypto Payment Provider’s procedures and terms.
10.1 Acube does not provide investment, financial, tax or legal advice on Virtual Assets. You are responsible for obtaining any independent advice you need, and for any tax consequences of disposing of Virtual Assets.
10.2 To the extent permitted by Applicable Law, Acube is not liable for any loss arising from:
(a) changes in the value of Virtual Assets;
(b) transfer errors on your part, or payments sent outside the Crypto Payment Provider;
(c) the acts, omissions, insolvency or failure of the Crypto Payment Provider; or
(d) delays, interruptions or failures of blockchain networks, banking or payment infrastructure, telecommunications, or other circumstances outside Acube’s reasonable control.
10.3 Nothing in these Crypto Terms excludes or limits any liability that cannot lawfully be excluded or limited.
11.1 Acube may amend these Crypto Terms by publishing an updated version on the Website. The version in effect when you start a payment applies to that payment, unless Applicable Law requires otherwise or Acube agrees otherwise in writing.
11.2 These Crypto Terms are governed by the laws of the UAE as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction, unless the Property Agreement provides otherwise.
